STANDARD TERMS AND CONDITIONS – UISart

Definitions

The customer is the person, firm or company who purchases the goods and/or services from UISart, which forms the contract between the parties.

‘We’, ‘us’ and ‘our’ herein refers to UISart. These terms and conditions apply every time you buy our goods or use our services. By buying our goods or using our services, you agree to be legally bound by these terms and conditions. If you do not agree to be legally bound by any of these terms and conditions, then bring it to our attention prior to placing any order for goods or using our services.

Nothing stated or implied in these terms and conditions shall affect the statutory rights of any customer. All of the terms and conditions expressed or implied by the statute or otherwise are excluded.

Application of Terms

The customer’s order or acceptance of our quotation for goods / services from UISart constitute an offer by the customer to purchase our goods and / or services subject to our terms and conditions. We will acknowledge in writing the customer’s order / confirm acceptance of our quotation. The quantity and description of the goods and / or services shall be set out in our quotation or acknowledgement of the customer’s order.

Pricing Policy

The price for the goods and / or services shall be the price set out in our quotation or acknowledgement of the customer’s order. Prices may change with or without prior notice and may be subject to amendment to reflect changes in cost of materials or any change in the cost of production. UISart will not be held responsible for errors as a result of software or hardware failures. UISart reserve the right to charge for work that forms part of the process of preparing or designing the final product / goods and / or services, to be charged as we shall decide or make an additional charge where expedited delivery is required by the customer.

Printing Services

We have a strict policy not to adjust any colour settings or contrast / brightness setting, unless specifically asked by the client. The colour settings and the type of computer monitor that you use to view your images affects the perception of how your image should look. Unless your computer monitor has been calibrated the image on your screen may look different to the final print. As we cannot guarantee the accuracy of your monitor, we will not accept colour reproduction as a valid reason for return once the proofing process has been completed.

We reserve the right to make a judgement as to whether the image supplied to us is of sufficient quality to print at the size requested by the customer. If the image is too small you will be informed and you will be asked to supply an alternative larger scale version of the image, or we will arrange a refund if this is unavailable.

Payment

All goods remain the property of UISart Ltd until Invoice is paid in full.

Because our work and services are carried out to your specific requirements, full cleared payment is required prior to commencing your order, or at our discretion within 30 days of the date of submitted invoice. We reserve the right to reduce the timescale for payment at any time.

Any payments payable will be immediately due in full (including and right to claim interest) if the contract between the parties is terminated by UISart. In the event the customer fails to pay any sum due or is deemed unable to pay its debts as they fall due, we shall have the right to suspend all production of goods and/or services and be entitled to charge for work already carried out or materials purchased for the customer. The sum charged will be due immediately.

Order completion

We aim to provide completed orders in a timely manner. This time can vary depending on current workload, size and complexity of the order and special requests. We will keep you informed by email of estimated completion dates. Please contact us at any time for an update of your order status.

Delivery

We may deliver the goods in separate instalments with each instalment paid for in accordance with the provisions of these terms and conditions, or as agreed in writing between the parties. We will endeavour to meet agreed delivery dates/times and will make best efforts to notify customers in good time if these cannot be met. Any damaged, faulty or missing goods at the time of delivery must be notified in writing (by mail, email or fax) to us within 48 hours of receipt, otherwise no liability will be accepted.

Risk / Title

All property supplied to us by the customer, but belonging to the customer, shall whilst in our possession or transit, be deemed to be at the customer’s risk and the customer should insure the property accordingly.

Risk in the goods shall pass to the customer upon receipt. UISart retains the title in the goods as to such time as all monies owed in relation to the goods are paid in full. (*enter premises*)

UISart Property and Intellectual Property Rights

All property / materials owned by us and used in the production of the goods / services will remain our exclusive property. The goods and / or services are sold / supplied by us subject to any intellectual property rights of any third party and the customer will in this respect accept such title to the goods as the supplier may have.

Any intellectual property rights existing or otherwise created by UISart shall be owned by us. UISart licences all such rights to the buyer on a non-exclusive basis to such extent as is necessary to enable the customer to make reasonable use of the goods and / or services. The customer shall not reproduce any UISart intellectual property rights in any form whatsoever, without the written consent of UISart.

The customer indemnifies UISart totally in respect of any claim whatsoever by a third party relating to any infringement of intellectual property rights for goods, designs, or any proofs supplied to us by the customer or his / her representative.

Indemnity

The customer agrees to keep us indemnified against all actions, claims, costs, expenses (including legal costs) and damages brought against us or suffered by us arising out of any breach of these terms and conditions or activity relating to the use of goods and / or services supplied by UISart or any other person accessing the goods / services supplied by us.

Guarantee and Quality

Force Majeure

UISart reserves the right to defer the date of delivery or to cancel the contract or reduce the volume of goods ordered by the customer (without liability to the customer) if we are prevented from or delayed from producing the customer’s goods or / and completing the services offered by us due to circumstances beyond our reasonable control. If the circumstances continue for a continuous period of in excess of 60 days, the customer shall be entitled to give notice in writing to terminate the contract.

Applicable Law

We are a company registered in England and Wales, as such English law governs these terms and conditions. All disputes without limitation are subject to the exclusive jurisdiction of the English courts. We reserve the right to vary these terms and conditions from time to time without notice.
